Procedure for shareholders to propose a person for election as a director
Subject to applicable laws, rules and regulations, including the Companies Law (2007 Revision), Cap. 22 of the Cayman Islands ("Companies Law"), the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited ("Listing Rules") and the articles of association of the Company as amended from time to time, if a shareholder of the Company ("Shareholder") intends to propose a person other than a director of the Company for election as a director of the Company at any general meeting, the following procedures shall apply:
 
The Shareholder concerned shall lodge with the principal place of business of the Company in Hong Kong for the attention of the Company Secretary:
  (a) a written notice of his intention to propose that person for election as a director; and
  (b) a notice in writing by that person of his/her willingness to be elected together with the information set out below
  within the period commencing no earlier than the day after the dispatch of the notice of the general meeting and ending no later than seven days prior to the date of such general meeting.
 
Information required to be submitted by the candidate includes the following:
  (a) Full name, age and address of the candidate;
  (b) Positions held with the Company and/or its subsidiaries (if any);
  (c)
A supporting statement from the Shareholder concerned describing the candidate's eligibility for seeking election to the board of directors of the Company;
  (d)
Current employment and such other information (which may include business experience, other major appointments and academic or professional qualifications) pertaining to the ability or integrity of the candidate;
  (e)
Full particulars of the candidate required for inclusion in the announcement or supplemental circular to shareholders in accordance with the requirements as set out in the Listing Rules; and
  (f) Contact details.
